This End User License Agreement (“EULA”) governs your use of the PairaVoice mobile application, including its transcription, translation, speech-to-speech, voice recognition, and related features (collectively, the “App”). The App is provided by Pairaphrase LLC (“Pairaphrase,” “we,” “us,” or “our”).
By installing or using the App, you agree to this EULA and all terms incorporated by reference. If you do not agree, do not install or use the App.
If you are accepting on behalf of an organization, you represent that you have authority to bind that organization.
1. Definitions
App: The PairaVoice mobile application, including any content, models, speech and language features, documentation, and updates.
Services: Cloud-based services and APIs used by the App (e.g., speech recognition, translation, TTS, voice cloning).
Content: Audio, text, transcripts, translations, and other data you submit to or generate with the App.
PHI: Protected Health Information as defined by HIPAA.
BAA: A Business Associate Agreement executed between you and Pairaphrase, if applicable.
You/User: An individual or entity using the App.
2. License Grant and Restrictions
License. Subject to this EULA and payment of applicable fees, Pairaphrase grants you a limited, non-exclusive, non-transferable, revocable license to install and use the App on devices you own or control solely for lawful internal purposes.
Restrictions:
- Reverse engineer, decompile, or attempt to derive source code for any part of the App or Services (except to the extent permitted by law).
- Use the App for competitive analysis, to build a competing product, or to benchmark publicly without our consent.
- Circumvent technical limitations or security.
- Rent, lease, sublicense, assign, or otherwise transfer the App except as explicitly allowed by this EULA.
- Use the App to collect or process data unlawfully or in violation of third-party rights, including privacy, publicity, or intellectual property rights.
- Use the App for any high-risk activity where failure could lead to death or personal injury (e.g., emergency communications, life support).
3. Accounts, Eligibility, and App Store Terms
You must be at least the age of majority in your jurisdiction (or have verifiable parental consent where required) to use the App.
App distribution platforms (e.g., Apple App Store, Google Play) may apply their own terms and policies. Where platform terms conflict with this EULA, the platform terms govern solely to the extent required by the platform.
4. Device Permissions & Telephony/Recording Compliance
The App requires access to your device’s microphone, speaker, and (optionally) storage, and network to function properly. You are responsible for obtaining any legally required consents to record voices or communications and for complying with call recording and wiretapping laws applicable to you and your participants (including all-party consent jurisdictions). Pairaphrase does not provide legal advice—consult your counsel regarding your obligations.
5. PHI, HIPAA, and Healthcare Use
Pairaphrase supports healthcare workflows. If you will process PHI with the App, a signed BAA with Pairaphrase is required. Without a BAA, you must not submit PHI to the App.
You are responsible for configuring and using the App in a way that complies with HIPAA and applicable privacy laws (e.g., limiting access, appropriate authentication, device protection, and secure network usage).
The App provides communication assistance only. It is not a medical device and does not provide medical advice, diagnosis, or treatment. Clinical decisions must be made by qualified professionals.
6. Data, Privacy, and Security
Your Content. You retain ownership of your Content. You grant Pairaphrase and its subprocessors a non-exclusive license to process your Content to provide, secure, maintain, and improve the App and Services, and to comply with law.
AI Models & Improvements. To improve quality (e.g., accents, domain terminology), we may analyze de-identified and/or aggregated usage patterns. Where required, we will seek additional consents or provide opt-outs.
Confidentiality. We implement commercially reasonable administrative, technical, and physical safeguards for the App and Services. You are responsible for end-user access controls, device security, and safe handling of exports.
Privacy Notices. Our Privacy Policy describes data practices in detail and is incorporated by reference.
7. AI, Accuracy & Responsible Use
The App uses AI/ML for speech recognition, translation, pronunciation analysis, and voice synthesis. Outputs may contain errors, omissions, or biases. Always review outputs before relying on them. Do not use outputs as a sole source for clinical, legal, immigration, or other high-stakes decisions.
8. Voice Recognition & Synthetic Speech
When enabling voice recognition:
- You will not impersonate another person, misrepresent the origin of speech, or use cloned voices to deceive or defraud.
- You must disclose synthetic speech to participants where required by law or policy (e.g., organizational policies, platform rules).
We may suspend or disable voice features if we suspect misuse.
9. Export/Import Controls and Sanctions
You will not use or export the App in violation of U.S. or other applicable export laws and sanctions. You certify you are not located in or a resident of any embargoed country or on any restricted party list.
10. Open Source Components
Certain components may be provided under open-source licenses. To the extent of a conflict, those licenses govern your use of the applicable components.
11. Subscriptions, Packages, Auto-Renew, Fees & Rollover
The App may be licensed via monthly Subscriptions (recurring plans). Unless you disable auto-renew before the end of a billing cycle, Subscriptions renew automatically. No refunds are provided except where required by law. Pairaphrase may change pricing, plans, or features with notice to the email on file and/or in-product notice. Unused words may roll over for a limited period subject to plan rules; interruptions (e.g., non-payment) may result in forfeiture. See your order, in-product plan page, or applicable documentation for details.
12. Billing & Payment Authorization
You authorize us to charge your provided payment method for all fees and applicable taxes. You are responsible for maintaining accurate billing information. If a charge is declined, we may suspend access and/or require a current plan selection before reactivation.
13. Updates and Changes
We may provide updates, patches, or new releases, which may be required for continued use. We may modify or discontinue features with reasonable notice where practicable.
14. Acceptable Use
You will not use the App to:
- Violate laws or third-party rights.
- Upload malicious code or attempt to gain unauthorized access.
- Harass, exploit, or discriminate against others.
- Generate or disseminate unlawful, deceptive, or harmful synthetic audio.
- Infringe intellectual property or misuse confidential information.
We may investigate violations and suspend or terminate access.
15. Warranty Disclaimer
YOUR USE OF THE APP AND SERVICES IS AT YOUR SOLE RISK. THE APP AND SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ACCURACY. WE DO NOT WARRANT THAT THE APP WILL BE UNINTERRUPTED OR ERROR-FREE, THAT DEFECTS WILL BE CORRECTED, OR THAT OUTPUTS WILL MEET YOUR REQUIREMENTS. YOU ARE RESPONSIBLE FOR REVIEWING OUTPUTS AND ENSURING APPROPRIATE HUMAN OVERSIGHT.
16. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, PAIRAPHRASE LLC AND ITS AFFILIATES, OFFICERS, EMPLOYEES, AGENTS, SUPPLIERS, AND LICENSORS ARE NOT LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, COVER, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, ARISING FROM OR RELATED TO THIS EULA OR YOUR USE OF (OR INABILITY TO USE) THE APP OR SERVICES, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. OUR TOTAL LIABILITY FOR ALL CLAIMS IN THE AGGREGATE WILL NOT EXCEED THE AMOUNTS PAID BY YOU FOR THE APP IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM.
Some jurisdictions do not allow certain limitations; in those jurisdictions, our liability will be limited to the maximum extent permitted by law.
17. Indemnification
You will defend, indemnify, and hold harmless Pairaphrase and its affiliates, officers, employees, agents, suppliers, and licensors from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys’ fees) arising out of or related to your Content, your misuse of the App or Services, or your breach of this EULA.
18. Term and Termination
This EULA is effective upon your first installation or use of the App and continues until terminated. We may suspend or terminate your access immediately for violation of this EULA, non-payment, legal risk, security concerns, or to comply with law. Upon termination, your license ends and you must stop using and delete the App. Terms that by their nature should survive (e.g., ownership, disclaimers, limitations of liability, indemnities, and governing law) will survive.
19. Third-Party Services & Links
The App may interoperate with or link to third-party services. Pairaphrase is not responsible for third-party content, policies, or practices. You are responsible for reviewing third-party terms and privacy policies applicable to those services.
20. Intellectual Property
The App and Services, including all associated IP rights, are owned by Pairaphrase or its licensors and are protected by copyright, trademark, patent, trade secret, and other laws. Except for the license in Section 2, no rights are granted by implication or otherwise.
21. Government Use
The App is “commercial computer software” and “commercial computer software documentation.” Government end users’ rights are limited by this EULA and applicable law.
22. Anti-Corruption Compliance
Each party represents that it understands and will comply with applicable anti-corruption and anti-bribery laws (including the U.S. FCPA and UK Bribery Act). On reasonable notice, each party will provide documents verifying compliance training. Any breach of this section is a material breach permitting immediate termination.
23. Beta, Preview, and Experimental Features
We may offer optional beta or preview features. Such features are provided as-is, may be changed or discontinued at any time, and may not be suitable for production or PHI unless expressly stated.
24. Emergency and High-Risk Disclaimers
PairaVoice does not support emergency communications (e.g., 911/112) and is not designed for life-sustaining or mission-critical use. Do not use the App as a substitute for trained human interpreters in scenarios where miscommunication could cause harm.
25. Notices
We may send you notices via in-app messages, email, or by posting within the App or our website. You consent to receive electronic communications and agree that such communications satisfy legal requirements for written notice.
26. Assignment
You may not assign this EULA without our prior written consent. We may assign this EULA in connection with a merger, acquisition, corporate reorganization, or sale of assets.
27. Governing Law; Venue
This EULA and any dispute arising out of or related to it are governed by the laws of the State of Michigan, USA, without regard to conflict-of-laws rules. The exclusive forum for disputes will be the state or federal courts located in Michigan, and you consent to their personal jurisdiction.
28. Severability; Waiver; Entire Agreement; Order of Precedence
If any provision is held unenforceable, it will be modified to the minimum extent necessary to be enforceable, and the remaining provisions will remain in effect. Failure to enforce any provision is not a waiver. This EULA, together with any order form, BAA (if executed), Privacy Policy, and applicable platform terms, constitutes the entire agreement regarding the App and supersedes all prior or contemporaneous understandings. If there is a conflict, the following order controls: (1) BAA (for PHI processing), (2) order form or plan-specific terms, (3) this EULA, (4) Privacy Policy, (5) platform terms (to the extent required by the platform).
29. Changes to this EULA
We may update this EULA from time to time. Changes will be effective upon posting in the App or on our website, or on the date specified. Your continued use following the effective date constitutes acceptance of the updated EULA.
